Good morning Mrs. deJongh:
Denise Mills asked that I provide a response to this concern. We appreciate your stated position; and we
assure you that this is not any waiver of any requisite application fee by the Virgin islands Port Authority
("VIPA"). You are absolutely correct that each application requires an application fee, and that is our
practice. However, it has also been our practice to balance acceptance of any application fee with
whether or not we (also) intend to accept/act upon any given application.
With that said, we realize that we accepted and deposited and application fee from TWA on October 18,
2010 - for prospective space to construct a hangar at the Cyril E. King Airport ("CEKA"). Since that
application has not yet been processed; and since that time, the prospect of available hangar space (i.e.
instant 3600 s/f) came into focus, along with accompanying application and fee delivered by Ms.
Morrell, I felt it prudent to make certain that there was clarity regards these issues. Moreover, given the
application fee from Ms. Morrell was cash, to have deposited same and then having the potential to have
to reimburse because of any "double payment", I felt it best not to accept it at that time. I realize that I
did not provide these details to Ms. Morrell yesterday.
Moving forward, it is now my understanding that TWA wants to keep its other two applications "active"
even with the newest one for the 3,600 s/f in play — and that is entirely acceptable. As I am sure you are
VIPA, continues to perform due diligence regards the potential areas with regards to the prior two
applications. Given that the 3600 s/f of space will become vacant in the near future, and given that TWA
intends to maintain "active" the most recent, prior two applications (i.e.: [1] land to build hangar; [2] area
for self-fueling interests), we are now clear that the instant $150 application fee will be required.
Just as an aside, TWA's 01/22/2010 application for prior vacated space (7200 s/f) at the General Aviation
hangar, was also submitted with a $150 application fee (check #1334, dated 01/21/2010) that was not
redeemed, since VIPA did not act on the application. That unredeemed check is being forwarded to
contact person Atty. Maria Hodge.
I trust this has provided some clarity to how we deliberated these matters.

Ms. Morrell, my messenger, just returned to the office with the $150.00 application fee. She said that she
was told that you already have a fee from us or something to the effect. We paid a fee each time we
submitted an application so I believe we should pay a fee once more for this application. The other two
applications are still active and this new one does not affect those two at all. Please let me know what the
issue is so that we can get this resolved.

Thank you for your reply. This is a bit confusing as the principal of Air Center Helicopter very clearly
indicated that a letter of intent NOT to renew was sent to the VIPA and I don't believe that we
misunderstood him. We will contact him again for further clarification.
I am in transit back to St. Thomas today and will hopefully have this cleared up later today.

Please find attached a Letter of Interest in a hangar space at the airport from Thomas World Air, LLC
(TWA). This space is currently occupied by Air Center and it is our understanding that they do not
intend to renew their lease with the Virgin Islands Port Authority (VIPA). I will send a signed hard
copy of this letter to you on Monday, May 9, 2011 and will also submit a formal application on Tuesday
along with the customary application fee. TWA's interest in leasing this space in no way negates our
current applications being processed at the VIPA.
